These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by COURIER SOFTWARE LTD ("CourierSoft", "we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility & Accounts

You must have authority to accept these Terms on behalf of yourself or your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Subscriptions, Renewals & Cancellation

Access to certain features may require a paid subscription. Unless otherwise stated, subscriptions renew automatically at the end of each term until cancelled. You may cancel at any time, and your access will continue until the end of the then-current billing period. Fees are exclusive of taxes. We may adjust pricing or packaging upon notice.

3. Acceptable Use

• No unlawful, infringing, or harmful activities.
• No reverse engineering, unauthorized access, or interference with the Services.
• No sending of spam or unauthorized messages; comply with carrier and CTIA guidelines for SMS.

4. Customer Data & Privacy

You retain ownership of Customer Data. You grant CourierSoft a license to process Customer Data to provide and improve the Services. Our use of personal data is described in our Privacy Policy.

5. Third-Party Services

The Services may interoperate with third-party products (e.g., analytics, communications, payment providers). Use of those services is subject to their respective terms and policies.

6. Intellectual Property

We and our licensors retain all rights, title, and interest in and to the Services, including software, documentation, designs, and trademarks. You may not use our marks without prior written consent.

7. SMS Program (Delivery Tracking Notifications)

By opting in to SMS, you consent to receive recurring transactional SMS messages from COURIER SOFTWARE LTD regarding parcel delivery tracking for shipments using the CourierSoft platform.

• Parcel Tracking: Updates when a parcel is in transit with ETA information.
• Out-for-Delivery Alerts: Notifications when a parcel is out for delivery.
• Delivery Confirmations: Confirmation when a parcel has been delivered.
• ETA & Exception Updates: Notifications about delivery window changes or delays.

Message frequency varies based on parcel status and delivery lifecycle events. Message & data rates may apply. Reply STOP to cancel; HELP for help. Carriers are not liable for delayed or undelivered messages. Consent is not a condition of purchase.

8. Opt-Out of SMS

You may opt out of SMS alerts at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any SMS message you receive. Upon receipt of your opt-out request, we will process it immediately, cease sending SMS messages right away, and send a confirmation message.

9. Warranties & Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Services will be uninterrupted, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURIER SOFTWARE LTD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Governing Law

These Terms are governed by the laws of England & Wales, without regard to conflicts of law principles. The courts of England & Wales shall have exclusive jurisdiction.
